We advise many of the key local and international financiers in film, TV and other intellectual property (IP) based industries, including banks, private financiers, private equity interests and government agencies.
Our in-depth experience in media, entertainment and IP means we are in a position to advise our clients on the unique risks that apply to financing intangible assets and on ways to mitigate those risks. The transactions we are involved in often include many parties across a range of jurisdictions.
We have represented financier interests in hundreds of film and television productions and have particular expertise in financing and procuring the various tax-based incentives for film & TV production including the location and producer offsets and the offset for post, digital and visual effects (PDV). Our experience and insight in this area comes in part from working with government agencies and the Australian Taxation Office over many years.
Alongside our film & TV project work we have advised on the securitisation and sale of music and book catalogues and on finance for corporate enterprises whose business is based around intangible assets.
The commercialisation of content is at the heart of much of what we do. From commission to transmission, we have the experience. Our lawyers are commercially focused and technically proficient.
We work with producers to source and structure deals for the creation of content and we provide assistance through the production process, including with commercial contracts, union and guild negotiations, intellectual property and brand protection, clearance and classification.
Our clients include intermediaries in the content supply chain such as sales agents, distributors, content aggregators and channel providers.
At the retail and delivery end we work for broadcast and transmission platforms utilising a variety of technologies and adopting a range of business models. From print and analogue radio to disruptors providing online content on a subscription basis – and most things in between – we advise on commercial arrangements, consumer engagement issues (consumer law and privacy) and other areas of regulatory compliance.
Online and Digital
Our experience in acting for content-based clients provides us with the tools to assist online and digital businesses whose offerings are more service-based. This includes participants in search, education, travel and accommodation and a host of other industries realising the potential of online commerce.
Our involvement with the Interactive Advertising Bureau (IAB) gives us unique insight into online advertising across trading, publishing, marketing/adtech, measurement and programmatic in both mobile and fixed.
We take the time to understand how our clients and the technology underlying their businesses operate. This enables us to identify all relevant legal issues and provide relevant, commercially attuned advice.
